Arbitration (Hybrid Provision)

Notwithstanding the foregoing, ACSD reserves the right, at its sole discretion, to require that any dispute, controversy, or claim arising out of or in connection with these Terms be finally resolved by arbitration.

If arbitration is elected:

  • The arbitration shall be conducted under the Arbitration Rules of the Common Court of Justice and Arbitration (CCJA) of OHADA, unless otherwise agreed in writing.

  • The seat of arbitration shall be Ouagadougou, Burkina Faso.

  • The language of arbitration shall be English.

  • The arbitral award shall be final and binding on the parties.

Equitable Relief

Nothing in this section shall prevent ACSD from seeking injunctive or equitable relief in any competent jurisdiction where necessary to protect its intellectual property, confidential information, or legal rights.

Supremacy of Written Agreements

For the avoidance of doubt, any separate written consulting agreement entered into between ACSD and a client may contain alternative dispute resolution provisions, which shall supersede this section in the event of inconsistency.
